Photographer Network Agreement

We believe in transparency. Before you apply to become a Heirloom print partner, this document sets out — clearly and without legal jargon — what you are agreeing to. A formal Partner Agreement will be provided at the point of approval, but this summary reflects its substance accurately.

If you have any questions about anything here, please reach out before you apply. We would rather answer questions upfront than have misunderstandings later.

1. Who We Are and What We Do

Heirloom Prints is the brand and the retailer. We own the storefront technology, set all product specifications, manage all customer relationships after a sale, and coordinate fulfilment through Atkins Lab, our professional print laboratory partner with over 85 years of industry experience.

Your role as a Heirloom print partner is to present our products to your clients through a personalised storefront we embed on your website. You are an authorised reseller — not a franchisee, employee, or agent with authority to represent Heirloom Prints beyond the scope of these terms.

2. Your Storefront

When approved, you will receive:

• A personalised embed code that places a Heirloom Prints storefront on your website
• A unique referral URL that attributes all sales made through your storefront to you
• Access to a partner dashboard showing your sales and commission history

Your storefront will feature your own photographs as demonstrations, your name and personal introduction, and the print and frame offerings you select from our catalogue. Everything else — the checkout experience, quality checks, payment processing, production, and dispatch — is handled entirely by Heirloom Prints.

Your embed code and referral URL are personal to you and non-transferable. You may not share, sell, or transfer them to another photographer, studio, or business entity. If you have associates or employees who wish to participate, they must submit their own application and be approved individually.

3. Commission

3.1 Standard Commission Rate

As a Heirloom print partner, you will earn a commission on every sale made through your storefront. Your specific commission rate will be confirmed in writing in your formal Partner Agreement at the point of approval.

Commission rates may vary between partners and may be adjusted over time — for example, to recognise performance, tenure, or participation in referral programs where you introduce other photographers to the network. Any change to your commission rate will be communicated to you in writing with reasonable notice before it takes effect.

Your commission rate is personal to you and confidential. Please do not discuss your commission rate with other photographers in the network.

3.2 How Commission is Calculated

Your commission is calculated as a percentage of the gross margin on each qualifying sale. Gross margin is defined as the sale price less Atkins Lab's wholesale production cost and outbound shipping costs. The calculation for every sale will be visible in your partner dashboard.

3.3 Payment Timing

Commission is paid 90 days after the date of the original sale. This period exists to allow for the returns window and any quality dispute resolution to conclude before commission is disbursed.

Example: A sale made on 1 April will have commission paid on or around 1 July, provided the order has not been cancelled, returned, or subject to an unresolved dispute.

3.4 Cancelled and Refunded Orders

Commission is only earned on completed, non-refunded orders. The following applies:

• If an order is cancelled before production commences — no commission is payable
• If an order is refunded due to a production fault or damage in transit — no commission is payable on that order
• If a customer exercises their rights under Australian Consumer Law and receives a replacement — commission on the replacement order follows the same 90-day cycle from the date of the replacement order
• If a refund is issued after commission has already been paid — the overpaid commission amount will be deducted from your next commission payment

Heirloom Prints will notify you of any cancellation or refund affecting a commission-eligible order.

3.5 Payment Method

Commission is paid to your nominated Australian bank account. You are responsible for providing accurate banking details and for your own tax obligations on commission income, including declaring commission as income to the Australian Taxation Office. Heirloom Prints will issue a commission statement for each payment.

4. Pricing — No Exceptions

Heirloom Prints sets all prices. This is non-negotiable and exists to protect the integrity of the brand and fairness across the network.

• You may not offer any discount, promotion, or reduced price to any client
• You may not charge any additional fee on top of the listed price
• You may not represent pricing as anything other than the current published Heirloom Prints rate
• You may not create urgency around pricing that does not reflect an official Heirloom Prints promotion

If a client asks for a discount, the position is simple: pricing is set by Heirloom Prints and is consistent across all print partners. You are welcome to direct them to contact us at info@heirloomprints.com.au if they have concerns.

5. What You Can Say — and What You Cannot

5.1 Encouraged

• Share your genuine experience of the product quality and your clients' responses
• Recommend specific frame and size combinations based on your knowledge of a client's photograph
• Use Heirloom Prints marketing materials and product descriptions as provided to you
• Tell clients that prints are handmade by a professional print laboratory to archival quality standards
• Tell clients that every print carries a 100-year quality guarantee

5.2 Not Permitted

• Do not make quality or specification claims beyond what is stated in official Heirloom Prints materials
• Do not make guarantee claims beyond the 100-year guarantee (for example, do not claim prints are indestructible or suitable for outdoor display)
• Do not handle customer complaints or quality disputes — direct clients to info@heirloomprints.com.au; we manage all post-sale customer relationships
• Do not represent yourself as an employee, director, or official spokesperson of Heirloom Prints
• Do not make comparative or negative claims about competitors

6. Your Responsibilities

• Keep your storefront active and accessible on your website for the duration of your partnership
• Respond to client pre-sale enquiries in your usual timeframe, directing order and fulfilment questions to Heirloom Prints
• Notify us promptly at info@heirloomprints.com.au if you are taking extended leave, closing your business, or wish to leave the network
• Maintain professional standards in how you represent the Heirloom Prints brand to your audience
• Not use the Heirloom Prints name, logo, or brand assets in any manner not expressly approved by us in writing

7. Our Responsibilities to You

• Produce every order to the quality standards we have described, on time
• Handle all customer service, returns, and warranty claims — you will never be left managing a post-sale issue alone
• Pay commission accurately, on schedule, and with a clear statement for each payment
• Give you reasonable written notice of any material change to commission rates, pricing structure, or these terms
• Keep your storefront embed and referral URL functioning — any technical issues are ours to resolve
• Notify you of any cancellation or refund that affects a commission-eligible order

8. Leaving the Network

Either party may end this arrangement with 30 days written notice to the other. Heirloom Prints reserves the right to remove a photographer from the network immediately and without notice if:

• There is a breach of the pricing obligations in Section 4
• There is a breach of the representation obligations in Section 5
• There is conduct that could damage the reputation of Heirloom Prints, Atkins Lab, or the photographer network
• There is evidence of fraud, misrepresentation, or abuse of the referral or commission system

On leaving the network — for any reason — your embed code and referral URL will be deactivated. Commission on sales already made and not yet paid will be disbursed in the normal cycle, subject to the 90-day window and any outstanding cancellation or refund matters.

9. What Happens After You Apply

• We review your application — including your portfolio and website — within 5 business days
• If approved, we will reach out to discuss your commission rate and send a formal Partner Agreement for signature
• Once the agreement is signed, we provide your embed code and onboarding materials
• Once your storefront is live, you can begin presenting it to your clients

We are selective about who joins the network — not to be exclusive for its own sake, but because the trust your clients place in your recommendations is the foundation of everything Heirloom Prints is built on. We take that seriously.
